Agent terms of service

1. General provisions

1.1. This document defines the terms of agency (partnership) service (hereinafter referred to as the “Agency Terms”) between the Limited Liability Company “Great Stone” (hereinafter referred to as the “Principal”), the owner of the OZTA IT service, and individuals and/or legal entities engaged to assist in the provision of services by the Principal (hereinafter referred to as the “Agent”).

1.2. Agency terms govern the relationship between the Principal and the Agent, related exclusively to attracting clients, information and organizational support for the provision of services by the Principal through the OZTA IT platform, without the Agent’s participation in settlements, repurchase of goods, logistics and customs clearance.

1.3. These Agency Terms do not regulate the relationship between the Principal and the Principal’s Clients, which are formalized on the basis of the Principal’s public offer and individual instructions from the Clients.

1.4. Agency terms come into force from the moment they are accepted by the Agent and are valid indefinitely until terminated.

1.5. The Principal has the right to change the Agency Terms unilaterally by publishing a new version on the website. The new edition applies to relationships arising after the date of its publication.

2. Terms and definitions

2.1. Principal - Great Stone LLC, owner of the OZTA IT service, providing clients with information, agency and organizational services to support clients’ transactions with third parties.

2.2. Agent is an independent individual or legal entity acting in its own interests as an independent contractor and at its own expense, when providing agency services - in the interests of the Principal; not being a representative or attorney of the Principal, unless otherwise expressly agreed in writing.

2.3. Client is a third party who has entered into an agreement (offer) with the Principal to receive services through the OZTA service.

2.4. Agency services - actions of the Agent to attract clients, transfer applications, provide information support and otherwise facilitate the provision of services by the Principal.

2.5. OZTA Service is a software and hardware complex, website and personal account used by the Principal to provide services.

3. Subject of agency terms

3.1. The Agent provides agency services to the Principal, including:

• attracting potential clients;
• transfer of contact information and applications of Clients to the Principal;
• information support for Clients regarding the use of the OZTA service;
• other actions expressly agreed upon by the Parties in writing.

3.2. The agent has no right:

• accept funds from Clients;
• participate in settlements between Clients and the Principal;
• participate in the purchase of goods, logistics or customs clearance;
• provide Clients with guarantees, promises or assurances on behalf of the Principal;
• enter into transactions or sign documents on behalf of the Principal.

3.3. The Agent is not a commercial representative of the Principal in the sense of the civil legislation of the Kyrgyz Republic.

4. Rights and obligations of the Parties

4.1. The agent undertakes

• act in good faith and in the interests of the Principal;
• comply with the terms of the Principal’s public offer and service regulations;
• do not mislead Clients regarding the role of the Principal;
• comply with legal requirements, as well as the AML/KYC Policy and the Company’s Sanctions Policy posted on the OZTA service;
• at the request of the Principal, provide information about its activities and beneficiaries.

4.2. The agent has the right

• receive remuneration in the manner and amount established by the Principal;
• use the Principal’s brand and materials strictly for the agreed purposes;
• terminate the provision of agency services upon notification of the Principal.

4.3. The principal has the right

• monitor the Agent’s compliance with these Agent Terms;
• suspend or terminate cooperation without explanation;
• change the terms of remuneration; new conditions apply to Clients attracted after the publication of changes immediately; for Clients attracted before publication - after notifying the Agent at least 14 (fourteen) calendar days in advance.

5. Reward

5.1. The Agent's remuneration is paid by the Principal for actually attracted Clients or other agreed indicators.

5.2. The Agent does not accept Clients' funds. All settlements with Clients are carried out by the Principal directly.

5.3. The Agent's remuneration is not related to the amounts of money paid by Clients for goods of third parties.

5.4. The Agent independently fulfills tax obligations arising in connection with the receipt of remuneration under these Agency Terms.

6. Privacy and data

6.1. The Agent is obliged to maintain the confidentiality of the Principal’s commercial, technical and other information, including personal data of Clients.

6.2. Confidentiality obligations are valid during the period of cooperation and 3 years after its termination.

7. Responsibility

7.1. The Principal is not responsible for the actions of the Agent to the Clients.

7.2. The Principal's liability for any claims of the Agent is limited to the amount of remuneration paid to the Agent over the last 3 months.

7.3. The principal is not responsible for lost profits and indirect losses.

8. Non-compete

8.1. During the period of validity of the Agency Terms, the Agent undertakes not to use the Principal’s confidential information for the benefit of competitors.

9. Final provisions

9.1. These Agency Terms do not create an employment relationship between the Parties.

9.2. Applicable law is the legislation of the Kyrgyz Republic.

9.3. In all other respects, the Parties are guided by individual agreements and the current public offer of the Principal.
