General Terms of Service

1. General provisions

1.1. These General Terms govern the conclusion and performance of agreements between Limited Liability Company "Great Rock", operating under the OZTA designation (the Company), and individuals and legal entities (the Client).

1.2. The subject, scope and result of the services, the Company's role, price, stages and performance terms are determined in an Individual Offer. It is an offer for the relevant Application and applies together with these General Terms and the documents named in the Offer. Posting the General Terms on the website and submitting an Application do not by themselves conclude an agreement.

1.3. The law of the Kyrgyz Republic applies to the parties' relationship. Mandatory consumer-protection rules and other mandatory rules applicable to the parties remain effective regardless of these General Terms.

1.4. Partner client-referral terms are governed by the Partner cooperation terms and do not determine the Client's rights under services ordered by the Client.

2. Terms and agreement documents

2.1. Application means a Client request to check whether services can be provided and prepare an Individual Offer. Submitting an Application, preliminary correspondence and an automatic acknowledgement do not conclude an agreement or create an obligation to perform it.

2.2. Individual Offer means a document or set of documents sent by the Company that identifies the subject and result of the services, scope of work, price or agreed calculation method, stages, required initial data, start conditions and acceptance method.

2.3. Instruction means an assignment agreed by the parties, including the Estimate and attachments, accepted under section 3. The term identifies the agreed order and does not itself determine the legal type of the agreement. Actions on behalf of the Client are permitted only with the necessary authority.

2.4. The Estimate sets out the Company's service price, amounts for settlements with third parties, mandatory payments, included and excluded expenses. Estimated amounts, spending limits and terms for revising them are stated separately. Each change to the Estimate is made in a new agreed version.

2.5. The agreement includes the Payment and settlement terms, Cancellation and Termination Policy, Refund Policy, Client and transaction screening policy and Sanctions Policy in the versions in force when the Instruction is accepted. Mandatory statutory requirements apply regardless of the document version date.

2.6. If terms conflict, mandatory rules prevail, followed by terms expressly agreed in the Individual Agreement and Instruction, then the special provisions of the relevant Policy and these General Terms. A departure from a general term must be expressly stated in the agreed document. Correspondence about a possible change does not replace a change agreement.

3. Conclusion procedure

3.1. Before sending an Individual Offer, the Company may request information needed to assess the Application and may refuse it where lawful and proper performance is not possible. Submitting an Application does not guarantee an available supplier, contractor, route or payment method.

3.2. The Company sends an Individual Offer by email or another agreed communication channel. The Offer must identify its contents, sender, recipient, Estimate version and acceptance period. Before acceptance, the Client receives the applicable versions of these General Terms and other agreement documents. If an invoice is issued, it must clearly identify the Offer and stage to which it relates. The Company keeps agreed terms and acceptance confirmations with the Instruction materials for applicable retention periods.

3.3. An agreement is concluded when the Client fully and unconditionally accepts the Individual Offer during its validity period. Acceptance is an express written, including electronic, confirmation or payment where the Offer provides for that method. The amount and purpose of payment treated as acceptance are stated in the Offer. The Client's silence is not acceptance.

3.4. A reply with changes, removal of an invoice item or payment of another amount is not acceptance of the original Offer. The Company treats it as a proposal to change the terms. This does not prevent agreed stage payments or limit the Client's statutory right to terminate.

3.5. A stage begins after the agreement is concluded, required information and documents are provided, mandatory checks are completed and funds covering that stage in full are received. Requiring payment for a stage does not require advance payment for the entire multi-stage transaction.

3.6. Paying money without a concluded agreement does not give the Company the right to spend it at its discretion. The payment purpose must be clarified; without an agreed basis for retention, the funds are refunded under the established procedure.

4. Subject and limits of performance

4.1. The Company provides agreed analytical, informational and organisational services, including supplier searches, document checks, purchase support and arranging third-party work. An obligation to provide a particular service arises only within the accepted Instruction.

4.2. When purchasing goods or services, the Company may act as the Client's agent or itself be a party to the agreement with the supplier or contractor. The Instruction identifies the role: whose name and account the transaction uses, who acquires rights and duties, how goods or the service result are transferred, and what documents and authority are required. Ownership, accounting and tax treatment are determined by the actual transaction model and law.

4.3. The Company may engage contractors within the agreed scope unless the agreement or law requires personal performance. Engaging a contractor does not change the price or subject of the Instruction without the agreed procedure and does not release the Company from its own obligations.

4.4. Checking details, an analytical report, inspection, arranging transport and a legal opinion are different types of work. Including one does not include the others. The result and limits of a check are defined in the Instruction.

4.5. Settlements with suppliers and contractors take place within an agreed purchase or other Instruction. Arranging payment as part of a purchase does not create an additional percentage fee for paying the same invoice.

5. Client duties

5.1. The Client must provide complete, accurate and current information and documents needed for the agreed scope, confirm authority, make decisions required by the Instruction on time and pay the relevant stages.

5.2. The Client must promptly report changes to goods, specifications, supplier, recipient, purpose, route, documents, amount, timing and other material circumstances. The Company identifies the information needed and the actions connected with the request.

5.3. Inaccurate information, forged documents, another person's funds without a lawful basis, and instructions to conceal the actual participants or purpose are prohibited. The Company is not required to follow unlawful instructions.

5.4. The Client must review the delivered result and report and, if objecting, identify specific departures from the agreed assignment under the Instruction and law.

6. Changes to the Instruction

6.1. An accepted Instruction may be changed by agreement, except where the law expressly provides a right of unilateral change or termination. The Company is not required to accept new terms proposed by the Client.

6.2. Technologically, documentarily or legally necessary connected actions and the consequences of removing them are stated in the Instruction. If the need for an additional action appears later, the Company explains it and agrees the changed scope and price before additional expenses arise. Services unrelated to the result may not be declared mandatory.

6.3. The Client's removal of a necessary service or expense does not require the Company to perform a dependent service on the previous terms. The Company assesses known available methods, including a suitable result from another contractor provided by the Client, and tells the Client how performance can continue or why it is impossible. New contractor searches and other additional work outside the Instruction require separate agreement.

6.4. A request to remove an invoice item, change the payment purpose or reduce the amount paid does not change the agreed Instruction without Company confirmation. If a message contains the Client's termination of the agreement or part of it, the cancellation procedure applies; it is not a request for Company permission to exercise a statutory right.

6.5. Until changes are agreed, the Company suspends affected actions where continuing could perform contrary to the stated termination, produce an incorrect result or cause new unnecessary expenses. Unaffected stages continue only if they can be performed independently within the current Instruction.

6.6. A new Instruction version must identify changed work, price, timing and the treatment of expenses already incurred. Silence, receipt of a request or sending a preliminary calculation is not Company acceptance of a change.

7. Suspension and termination of performance

7.1. The Company may not start or may suspend an affected stage if performance is prevented by:

  • failure to provide necessary information, documents, authority or agreed assistance;
  • incomplete, inaccurate or materially changed initial data;
  • removal of a necessary connected action without an agreed acceptable replacement;
  • failure to pay the agreed stage amount;
  • Client instructions preventing lawful performance or threatening the suitability of the agreed result;
  • a mandatory prohibition or restriction, or inability to complete the necessary participant and transaction checks.

7.2. If an obstacle can be remedied, the Company sends notice identifying it, the affected stage, required actions and a reasonable cure period. Disclosure is limited by legal requirements and protected third-party rights. An immediate suspension is allowed for a mandatory prohibition or threat of irreversible consequences, followed by notice to the extent permitted by law.

7.3. If an obstacle is not remedied after notice or continuation is objectively impossible, the Company may refuse the changed Instruction and terminate the existing agreement in whole or in the relevant part where a lawful ground exists. The procedure and consequences are set out in the Cancellation and Termination Policy.

7.4. The Client's breach is considered when determining delay, expenses and the parties' liability. Timing may change only to the extent actually affected by the obstacle; new expenses and a changed scope are not charged automatically. After the obstacle is remedied, the Company states the resumption terms and whether external quotes must be agreed again.

8. Settlements, reports and liability

8.1. Settlements, price composition, exchange rate, external expenses and report-acceptance procedure are governed by the Payment and settlement terms and the Instruction. The Company provides a report on completed actions and use of received funds.

8.2. The Company is responsible for its own actions, compliance with the agreed assignment and proper performance of accepted obligations under law and contract. Liability for engaged persons depends on the type of agreement and applicable rules.

8.3. The Company does not give a separate guarantee that an independent supplier, bank or carrier will perform unless expressly agreed. This does not release the Company from liability imposed by law, including for its own organisational errors.

8.4. Damages, causation, fault and grounds for release are determined with regard to the legal type of the agreement. A cap at the fee, exclusion of losses or waiver terms do not apply where they conflict with mandatory rules. Refunding unused funds does not replace statutory liability for a breach.

9. Notices, claims and personal data

9.1. The Company's general address for legally significant communications is info@ozta.com. Other addresses and accounts are recorded in the Instruction or a later confirmed agreement. The parties must keep their contact details current.

9.2. Electronic messages and documents may prove agreement where the sender, contents and connection with the Instruction can be reliably established. The legal effect of a notice depends on confirmed delivery and applicable rules; sending alone does not prove receipt in every case.

9.3. A claim must identify the Client, Instruction, circumstances and relief sought. The Company considers it within the period set by law or contract for the relevant claim. Missing information is addressed by requesting only data without which the claim cannot be reviewed. A pre-trial procedure does not limit the right to judicial protection where the law does not allow such a limit.

9.4. Disputes are resolved by a competent court subject to jurisdiction rules, including a consumer's choice of court where provided by law.

9.5. Personal-data processing is governed by the Privacy Policy; cookies and similar tools are governed by the Cookie Policy. Acceptance of an Individual Offer does not replace separate consent where law requires it.

10. Document versions

10.1. This version applies to Instructions accepted after it is posted on the website. The document and Individual Offer version applicable to an Instruction is determined when it is accepted.

10.2. Posting a new version does not automatically change an earlier agreed price, scope or terms. Changes are allowed by agreement or mandatory law. Invalidity of one term does not invalidate the rest if the agreement can be performed without it.
